Welcome to The Studio’s website, customizedkeyrings.com (the Site). Please review the following basic rules that govern your use of this Site. Please note that your use of this Site constitutes your unconditional agreement to follow and be bound by these Terms and Conditions. The Studio may modify these Terms and Conditions at any time without prior notice. Your use of the Site following any such change constitutes your agreement to follow and be bound by these Terms and Conditions as changed; therefore, we encourage you to review these Terms and Conditions whenever you use this Site.

Payment
By submitting an order to purchase keyrings with printed images you agree that all charges, applicable taxes, and shipping/handling fees will be charged to a credit card via PayPal (online) or paid by you with another approved payment method. Each order must be fully paid before we complete an order unless other arrangements are made. Once a print job has been "sent to press", no changes are allowed to the artwork files, job characteristics, or turnaround time. Each order you make to The Studio, even if you make it for a third party, is a contract between you as the customer making the order and The Studio.

Refund Policy
All sales are final. Since we customize each order according to your file and exact specifications, no refunds are given once The Studio has begun work on your job.

If we verify that we have made an error, we will re-run the order. You must notify us within 24 hours from delivery of any defects and return 100% of the defective order at your expense within 5 days of receipt of order. If no work has been done by The Studio for a specific order, a refund may be issued, adjusted to cover any fees charged for proofs or other services associated with that order as well as fees incurred by The Studio for that job.

Sales Tax
The Studio charges sales tax to orders received from within the state of Florida unless you are tax exempt. If you are tax exempt, you must send or fax us your signed tax exemption certificate.

Digital Files, Artwork, and Proofs
Please read and follow the Instructions for Ordering Keyrings.

The Studio checks all submitted artwork files before printing, but you are still responsible for the accuracy of your print-ready artwork files. Please proofread all files carefully before submitting them to The Studio.

If requested, we will email you an online proof for your review after we have received your file. An online proof is not an accurate color reproduction of your final printed piece but is the final opportunity for you to check the layout and final text. Extra charges may be incurred for design work other than providing bleeds, which we will do free of charge.

By submitting the image files to The Studio, you certify that you have the right to use the image(s) in your artwork files.

DO NOT send any "one-of-a-kind" transparencies, prints or artwork. DO NOT submit any artwork or files consisting of offensive, indecent, or improper material, or that could give rise to any civil or criminal liability, or that could infringe rights of privacy, copyrights, or other intellectual property rights without the permission of the owner of these rights and the persons who are shown in the material if applicable. You accept full legal liability for the content of material processed and printed on your behalf and under your instructions. We will refuse an order which in our opinion may be illegal in nature or an infringement on the rights of any third party. We reserve the right to refuse an order without disclosing a reason.

Color Accuracy
The Studio will reproduce color from submitted print-ready files as closely as possible, but may not exactly match color and density (as viewed in a 5000K light booth) because of inherent limitations with the printing process. Screen proofs will predict design layout, text accuracy, image proportion and placement, but not color or density. Application of UV coating may affect or change the appearance of the printed colors.

Liability for Errors
Other than providing or correcting bleeds, if necessary, The Studio does not make any changes on customer files. The customer is liable for errors in a final product caused by misspelling, graphics, grammar, punctuation, and/or finished product size.

Overprint and Underprint Policy for High Volume Printing
Due to the method used for high volume printing, we cannot guarantee that every order will be the exact number of items ordered. The Studio can only guarantee that it will come within plus or minus 10% of the number of items ordered. This policy applies to orders of 1000 or more. Smaller orders are guaranteed in number.

Printing and Assembly Turnaround Time
Turnaround time begins once your order has been placed, your print-ready files have been emailed to barbara@customizedkeyrings.com and approved by us for printing, we have received your approval for your proof unless waived by you, and payment has been made. The Studio is not responsible for any errors or delays caused by problems beyond our control.

Shipping
Unless you choose pickup or local delivery services, large quantity shipping, i.e., 1000 or more keyrings, is currently done via UPS Ground. Small orders will be sent via USPS mail. Estimated shipping transit time is based on the number of business days in transit. The Studio’s responsibility is limited to preparing your order and delivering it to the carrier.

Pickup orders will be kept for 30 days from the delivery of the pickup notification email. If the order has not been picked up from The Studio's facility within 30 days, it will be shipped and customer billed for the applicable ground shipping rates, unless other arrangements are made.

Limit of Liability and Indemnification
The customer will defend and hold The Studio harmless in any suit or court action brought against The Studio by others for alleged damages, costs, liabilities, or losses resulting from circumstances where The Studio, acting as the customer's agent, uses copy, photographs, or illustrations that are believed by others to be degrading, libelous, or harmful to their reputations, images, or standing in the community or which may be an infringement on a trademark, or trade name, service mark, or copyright belonging to others, due to actions of the customer or the customer's employees. You agree to hold The Studio harmless against any and all claims and expenses related to your use of our products or our website. You also certify that you own rights to or have a license to use the image(s) being reproduced as part of your order.

Ownership and Use of Intermediary and Final Files
All materials we create in producing your product are the property of The Studio.

Although these materials will NOT be sold or given to any other party, we reserve the right to show potential customers samples of our final product with your printed image(s) and/or to put your images on our website. By accepting this agreement you grant us permission to use your materials, copyrighted or otherwise protected, for purposes of advertising our work and agree that such use will not constitute an infringement of your rights. Please note that your printed images will not be sold by us but may be used for advertising purposes only. Please notify us in writing if this not acceptable.

Copyright Notice
All printed content and content on The Studio’s website, customizedkeyrings.com, consists of intellectual property and copyrighted works of The Studio, its partners, affiliates, customers, and/or various third-parties. Reproductions or storage in any form of this content is subject to the U.S. Copyright Act of 1976, Title 17 of the United States Code. You may not use, copy, reproduce, republish, upload, post, transmit, distribute, or modify the content in any way, including in advertising or publicity pertaining to distribution of these materials, without the Studio's prior written consent. The unauthorized use of copyrighted material is prohibited. The Studio prohibits the use of copyrighted material on the website as a "hot" link on, or to, any other Web site unless establishment of such a link is pre-approved by The Studio in writing.

Use Restriction
You may use this website only to make legitimate requests to purchase the products or services offered. You represent that you are of sufficient legal age to create binding legal obligations for any liability you may incur as a result of your use of this Site. You agree to keep your membership information current, complete and accurate.

Placing a request in a false name or with an invalid credit card is illegal. Your Web browser transmits a unique Internet address to us that can be used by law enforcement officials to identify you. Fraudulent users may be prosecuted to the fullest extent of the law. Permission is granted to electronically copy and print hard-copy portions of this Site for the sole purpose of shopping. Any other use of content on this Site without The Studio's prior written consent is prohibited.

Other Communications
We encourage you to share your comments and questions with us, but we are not responsible for reviewing unsolicited ideas for our business and will not incur any liability as a result of similarities between those ideas and materials that may appear in our future programs. All comments, feedback, suggestions and ideas disclosed, submitted or offered in connection with your use of this Site shall become the exclusive property of The Studio. Such comments may be used for any purpose without obtaining your specific consent, and you relinquish all rights to such comments and without obligation of any kind on the part of The Studio.

Privacy
We will not share your information with anyone except for submitting your images to vendors to whom we subcontract work. This will not include any information other than your images and will maintain strict conditions of copyright and trademark laws.

Links to other Web Sites and Services
Links on our website to outside services and resources do not constitute any guarantees pertaining to these outside services and resources.

Entire Agreement
These Terms and Conditions constitute the entire agreement between you and The Studio relating to the subject matter hereof and may not be amended or modified except in writing or by making such modifications available on our website. If any provision of this Agreement is found to be invalid, illegal or unenforceable, the validity, legality, and enforceability of the remaining provisions will not in any way be affected or impaired. Your participation in using our system indicates your acceptance of this agreement.

Governing Law
The internal laws of the State of Florida shall govern the performance of these Terms and Conditions, without regard to such state's conflicts of laws principles. You consent to the exclusive jurisdiction and venue of the courts located in Clermont, Florida for all disputes arising out of, or relating to, the Terms and Conditions.
